Aurora Acquisition Corp. (NASDAQ: AURC) (“Aurora” or “the Company”), a publicly traded special purpose acquisition company (“SPAC”), today announced the filing of a definitive proxy statement to hold a special meeting of its shareholders on February 24, 2023 at 9:00 AM ET (the “Extraordinary General Meeting”) to extend the date by which Aurora must consummate an initial business combination (the “Extension Proxy Statement”).
As further detailed in the Extension Proxy Statement, holders of Aurora’s ordinary shares will be asked to approve a proposal to amend the Company's amended and restated certificate of incorporation to extend the date by which the Company has to consummate a business combination from March 8, 2023 to September 30, 2023, or such earlier date as shall be determined by the Company’s board of directors and publicly announced by the Company, and to consider and vote upon a proposal to approve the adjournment of the adjournment of the Extraordinary General Meeting to a later date or dates, if necessary.
For any holder of Aurora’s units who elects to redeem the ordinary shares underlying the units for cash in the trust account, the warrants underlying the units will be forfeited automatically.
