IGT's Gaming and Digital Business and Everi to Be Acquired Simultaneously by Apollo Funds in All-Cash Transaction
IGT and Everi have announced a significant change to their previously announced merger plans. Instead, both IGT's Gaming & Digital business (IGT Gaming) and Everi will be simultaneously acquired by Apollo Global Management in an all-cash transaction valued at approximately $6.3 billion. Under the new agreement:
- Everi stockholders will receive $14.25 per share in cash, a 56% premium over the July 25, 2024 closing price.
- IGT will receive $4.05 billion in gross cash proceeds for IGT Gaming.
- The transaction is expected to close by the end of Q3 2025, subject to regulatory approvals and Everi stockholder approval.
This deal replaces the previously announced spin-off and merger between IGT Gaming and Everi. Post-closing, IGT will become a pure-play lottery business, while IGT Gaming and Everi will operate as privately owned companies under Apollo's ownership.

Insights
This acquisition marks a significant shift in the gaming industry landscape. The $6.3 billion all-cash transaction involving IGT's Gaming & Digital business and Everi represents a substantial premium for shareholders, particularly Everi's, who will receive
The deal structure is intriguing. Instead of the previously announced spin-off and merger, Apollo Funds will now acquire both entities outright. This change suggests Apollo sees significant value in owning these assets privately, potentially to implement more aggressive growth strategies or cost-cutting measures without public market scrutiny.
For IGT, the
The transaction's expected completion by Q3 2025 indicates a lengthy regulatory approval process, which is not unusual given the size and nature of the gaming industry. This extended timeline also provides ample opportunity for potential competing bids or regulatory hurdles to emerge.
Overall, while this deal offers immediate value to shareholders, particularly Everi's, the long-term implications for the industry and the companies' competitive positions warrant careful consideration.
This acquisition signifies a major consolidation in the gaming technology sector, potentially reshaping competitive dynamics. By combining IGT's Gaming & Digital business with Everi under Apollo's ownership, we're likely to see the emergence of a powerhouse in gaming solutions, particularly in the important North American market.
The move to private ownership could accelerate innovation and integration between the two businesses. Without the pressures of quarterly earnings reports, the combined entity may be able to make longer-term strategic investments. This could potentially lead to more comprehensive and integrated product offerings for casinos and other gaming operators.
However, competitors like Scientific Games and Aristocrat Leisure may need to reassess their strategies in light of this consolidation. We might see a ripple effect of further M&A activity in the sector as other players seek to maintain their competitive edge.
For IGT, the transition to a pure-play lottery business is noteworthy. This could lead to a revaluation of the company, as lottery businesses often command different multiples than diversified gaming companies. Investors should watch for potential changes in IGT's growth profile and margin structure post-divestiture.
Lastly, Apollo's growing presence in the gaming sector, following investments in companies like Great Canadian Gaming and Gamenet Group, suggests they see significant growth potential in this space. Their expertise and capital could drive substantial changes in the industry landscape over the coming years.
The transaction's legal structure presents several interesting aspects. Firstly, the simultaneous acquisition of IGT's Gaming & Digital business and Everi by Apollo Funds through a newly formed holding company is a complex maneuver that likely aims to optimize tax efficiency and regulatory compliance.
The involvement of De Agostini S.p.A., IGT's majority shareholder, as a minority investor in the new combined enterprise adds another layer of complexity. This structure may help maintain continuity and potentially ease regulatory approvals, particularly in jurisdictions sensitive to foreign ownership in the gaming sector.
The transaction's lengthy expected timeline—completion by Q3 2025—suggests anticipation of a thorough regulatory review process. Given the size and nature of the deal, it's likely to face scrutiny from multiple regulatory bodies, including gaming commissions across various jurisdictions and potentially antitrust authorities.
The termination of the previous merger agreement between IGT and Everi in favor of this new deal structure raises questions about potential break-up fees or other contractual obligations. While not mentioned in the release, these could have material financial implications.
Lastly, the delisting of Everi's shares from the NYSE post-closing will require careful management to ensure compliance with all relevant securities laws and regulations. The transition from public to private ownership often involves complex legal and regulatory considerations that will need to be navigated carefully.
