American Tower Corporation (NYSE: AMT) has priced its public offering of 8,350,000 shares at $256.00 each, with an option for underwriters to purchase up to 835,000 additional shares. The net proceeds are estimated at approximately $2,083.5 million, or $2,291.9 million if the over-allotment is fully exercised. Funds will primarily be used to repay existing debt from a $3.0 billion term loan related to the acquisition of CoreSite Realty Corporation, finalized in December 2021.

American Tower Corporation (NYSE: AMT) today announced the pricing of its registered public offering of 8,350,000 shares of common stock at $256.00 per share. The underwriters of the offering have an option to purchase up to an additional 835,000 shares of common stock to cover over-allotments, if any. The net proceeds of the offering are expected to be approximately $2,083.5 million (or approximately $2,291.9 million if the underwriters exercise their option to purchase additional shares in full) after deducting underwriting discounts and estimated offering expenses. American Tower intends to use the net proceeds from this offering to repay existing indebtedness under its $3.0 billion 364-day U.S. Dollar-denominated unsecured term loan entered into in December 2021, including borrowings thereunder that were used to finance its acquisition of CoreSite Realty Corporation, which closed in December 2021.
J.P. Morgan is acting as lead book-running manager for the offering. Citigroup, Mizuho Securities, Morgan Stanley and TD Securities are also acting as joint book-running managers with respect to the offering.
