Insights

The merger between Gresham Worldwide, Inc. and Ault Disruptive Technologies Corporation indicates a strategic move to bolster Gresham’s financial standing and market footprint. Firstly, the implied pro-forma enterprise value of $83 million sets a benchmark for the valuation of the combined entity. This valuation is important for investors to gauge the market's confidence in the merged entity's potential. However, the anticipated additional cash of $1 million upon no redemptions seems modest for significant operational expansions. The substantial ownership retention by Gresham stockholders at 66% suggests confidence in their continued strategic direction.

Short-term, investors might see stock price volatility as the market digests the merger’s implications. Long-term, the merger could provide Gresham with enhanced financial resources and a broader market reach, especially given the increased demand for defense-related technologies. The strategic focus on growing revenue, currently at an impressive annual rate of over 20% and targeting a substantial backlog of $40 million in orders, suggests a promising growth trajectory. Nevertheless, investors should be cautious of potential integration challenges and the market's reaction to any redemptions by Ault Disruptive’s stockholders.

The merger positions Gresham to capitalize on its strengths in defense and healthcare technology. The emphasis on supporting Israel’s defense requirements and expanding services to NATO members underscores its strategic importance and potential for increased government contracts. These sectors are characterized by substantial and stable demand, driven by geopolitical tensions and the continuous need for advanced defense solutions. The listing on the NYSE American exchange is a positive move, providing greater liquidity, visibility and potentially attracting institutional investors.

However, market analysts should keep an eye on the competitive landscape. The defense and healthcare sectors are both highly competitive and regulated, which could impact Gresham's ability to maintain its growth rates. Additionally, the merger being a related party transaction could raise concerns regarding governance and fairness, which investors should monitor closely as regulatory approvals are sought.

From a strategic management perspective, the merger aims to leverage synergies between Gresham and Ault Disruptive, potentially enhancing operational efficiencies and market penetration. Jonathan Read's continuity as CEO provides leadership stability, which is important during the merger transition period. The planned redomiciling of Gresham from California to Delaware is a strategic move, likely aimed at benefiting from Delaware's favorable corporate laws, which could attract more investors and provide a more flexible corporate governance structure.

However, the success of the merger will heavily depend on the effective integration of the two entities’ operations and cultures. The ability to seamlessly combine resources and maintain the current growth momentum in revenue and order backlog will be critical. Strategic management will also need to address potential overlaps in operations and ensure that the merged entity is positioned to leverage its combined strengths effectively.

(OTCQB: GIGA) (“Gresham” or the “Company”), a provider of high-performance purpose-built electronic solutions for mission critical applications in defense, health care, telecommunications, and transportation industries, and Ault Disruptive Technologies Corporation (NYSE American: ADRT) (“Ault Disruptive”), a special purpose acquisition company, today announced they have entered into a definitive agreement and plan of merger (the “Merger Agreement”). Under the terms of the Merger Agreement, a wholly owned subsidiary of Ault Disruptive will merge with and into Gresham and the holders of the outstanding Gresham shares will receive equity in Ault Disruptive in connection with the business combination (the “Transaction”).

The Boards of Directors of both Gresham and Ault Disruptive have unanimously approved the proposed Transaction, which is subject to customary closing conditions, including receipt of all regulatory approvals, as well as the approval of the proposed Transaction by Gresham’s and Ault Disruptive’s stockholders. The closing of the transaction is anticipated to occur in the fourth quarter 2024, with Gresham to redomicile from California to Delaware prior to the closing. Ault Disruptive will be rebranded and operate as Gresham Worldwide, Inc. and is expected to remain listed on the NYSE American under the ticker symbol “GWWI.”

While each of Ault Disruptive and Gresham is a public traded corporation, Ault Alliance, Inc. beneficially owns a majority of each issuer’s shares of common stock. As such, the Transaction is a related party transaction.

Following the closing of the Transaction, the combined company will be led by Jonathan Read, Gresham’s Chief Executive Officer and Lutz P. Henckels, Gresham’s Chief Financial Officer.

Jonathan Read, Chief Executive Officer of Gresham, said, “The merger with Ault Disruptive marks a significant step for Gresham. It will allow us to expand the full potential of our investments in defense and healthcare technology. Listing on the NYSE American stock exchange should provide us with access to the necessary resources and visibility to enhance our engineering, production, and sourcing capabilities. Gresham has achieved over 20% revenue growth annually for the past three years and expects that growth to significantly accelerate with our global defense requirements and our new products for the healthcare industry. We are executing on our substantial $40+ million backlog of orders, while securing new orders from existing and prospective customers. Out support of the Israel defense requirements is vital to our global market position. Our expansion into providing NATO members defense products is also resulting in increased projects and products. We also believe that being on a national exchange will give us access to the resources to continue executing acquisitions of smaller defense contractors and accelerate our growth both organically and through M&A.”

Willliam Horne, Chief Executive Officer of Ault Disruptive said, “We are excited to partner with Gresham, a leader in high-performance electronic solutions for mission-critical applications across various industries. The increasing global demand for defense-related technologies, driven by ongoing conflicts and tensions, underscores the value of Gresham’s offerings.
